MEYER ORBACH ANNOUNCES COMPLETION OF REDEMPTION OF OPCO UNITS FOR UNITS OF GO RESIDENTIAL REAL ESTATE INVESTMENT TRUST

EmitenTrust.com NEW YORK, Oct. 2, 2026 /CNW/ -- Meyer Orbach ("Mr. Orbach"), of 80 Fifth Avenue, Suite 1201, New York, New York 10011, announces that on October 1, 2026, he directly or indirectly acquired 1,080,332 trust units ("Units") of GO Residential Real Estate Investment Trust (the "REIT"), 80 Fifth Avenue, Suite 201, New York, New York 10011, upon the redemption of 1,080,332 common units ("OpCo Units") of GO Residential Operating LLC ("OpCo") attributable to Mr. Orbach and held by him directly or indirectly through entities in which he holds a 50% interest (the "Redemption"). The Redemption did not take place on a market. Units are, in all material respects, economically equivalent to OpCo Units. Holders of Units are entitled to receive distributions on the same per unit basis as the holders of OpCo Units.

At the same time, certain other holders of OpCo Units exchanged 4,327,321 OpCo Units for 4,327,321 Units. In connection with these exchanges, the REIT redeemed 2.4832045 board voting units of the REIT ("Board Voting Units") attributable to Mr. Orbach at US$72,510.18 (C$103,276.25) per Board Voting Unit, for total consideration of US$180,057.65 (C$256,456.11, based on the Bank of Canada daily average exchange rate on October 1, 2026). The number of Board Voting Units redeemed corresponds to the number of OpCo Units exchanged for Units that were held by investors that received OpCo Units in connection with the closing of the initial public offering of the REIT. Board Voting Units have no economic entitlement in the REIT or in the distributions of the REIT (apart from their redemption value, which is equal to the subscription price for such Board Voting Units) but entitle the holder to one million votes per Board Voting Unit with respect to the election of trustees at any meeting of the unitholders of the REIT.

Immediately before the Redemption and the related transactions, Mr. Orbach beneficially owned, directly or indirectly, or exercised control or direction over (i) 11.0329335 Board Voting Units, representing 50% of the issued and outstanding Board Voting Units and approximately 18.6% of the available votes with respect to the election of trustees of the REIT at any meeting of holders of Units, and (ii) 1,000,000 Units and 5,874,302.74 OpCo Units, representing an aggregate approximate 16.0% effective equity interest in the REIT on a partially diluted basis.

Immediately following the Redemption and the related transactions, Mr. Orbach beneficially owns, directly or indirectly, or exercises control or direction over (i) 8.549729 Board Voting Units, representing 50% of the issued and outstanding Board Voting Units and approximately 14.3% of the available votes with respect to the election of trustees of the REIT at any meeting of holders of Units, and (ii) 2,080,332 Units and 4,793,970.74 OpCo Units, representing an aggregate approximate 14.5% effective equity interest in the REIT on a partially diluted basis. These amounts include only securities attributable to Mr. Orbach.              

The Units and OpCo Units held by Mr. Orbach are being held for investment purposes and Mr. Orbach may, depending on market and other conditions, increase or decrease his beneficial ownership or control of Units or OpCo Units whether through market transactions, private agreements, treasury issuances, exercise of convertible securities or otherwise.

The Board Voting Units held by Mr. Orbach are held for purposes of granting Mr. Orbach a vote on elections for trustees.
